Non-convertible debentures (NCD) are the bonds sold by companies which cannot be converted in equity on maturity. The principal amount and interest are paid to the investor on maturity in case of NCD.
NCD's are of two types; secured NCD and unsecured NCD. Secured NCD is backed by the company's asset. In case the company fails to pay principal on maturity, investors can claim payment through liquidation of assets. Unsecured NCD is not backed by any assets. They are riskier than secure NCD.
NCDs get listed on stock exchanges where investors can sell it before maturity. Company raises funds through NCD using NCD Public Issue.
