Nupur Recyclers IPO Basis of Allotment

Our Company was originally incorporated as a prorate limited company under the Companies Act, 2013 in the name and style of 'Nupur Recyclers Private Limited' bearing Corporate Identification Number U37100DI2019PTC34478B dated January 22, 2019 issued by the Registrar of Companies, Delhi. Subsequently, our Company was converted into public limited company pursuant to a shareholders resolution passed at an Extra-Ordinary General Meeting held on September 20, 2021 and name of our Company was changed to 'Nupur Recyclers Limited' and a fresh Certificate of Incorporation dated October 06, 2021 was issued by Registrar of Companies, Delhi. As on date of this Prospectus the Corporate Identification Number of our Company is U37100DL2019PLC344788. For further details of Incorporation please refer to section titled 'Our History and Certain Other Corporate Matters' beginning on page 113 of this Prospectus.

INITIAL PUBLIC OFFER OF 57,00,000 EQUITY SHARES OF FACE VALUE OF RS. 10/- EACH ("EQUITY SHARES") OF NUPUR RECYCLERS LIMITED ("COMPANY" OR "ISSUER") FOR CASH AT A PRICE OF RS. 60/- PER EQUITY SHARE (INCLUDING A SHARE PREMIUM OF RS. 50/- PER EQUITY SHARE) AGGREGATING UP TO RS. 3420.00 LAKH ("ISSUE") OF WHICH 3,00,000 EQUITY SHARES OF FACE VALUE RS. 10/- EACH FOR CASH AT A PRICE OF RS. 60/- PER EQUITY SHARE AGGREGATING RS. 180.00 LAKH WILL BE RESERVED FOR SUBSCRIPTION BY THE MARKET MAKER TO THE ISSUE (THE "MARKET MAKER RESERVATION PORTION"). THE ISSUE LESS MARKET MAKER RESERVATION PORTION I E. ISSUE OF 54,00,000 EQUITY SHARES OF FACE VALUE OF RS. 10/- EACH FOR CASH AT A PRICE OF RS. 60/- PER EQUITY SHARE. AGGREGATING RS. 3240.00 LAKH IS HEREINAFTER REFERED TO AS THE "NET ISSUE". THE ISSUE AND THE NET ISSUE WILL CONSTITUTE 27.40% AND 25.06%, RESPECTIVELY OF THE POST ISSUE PAID UP EQUITY SHARE CAPITAL OF OUR COMPANY.

The Equity Shares offered through the Prospectus are proposed to be listed on the Emerge Platform of National Stock Exchange of India Limited ("NSE Emerge"). In terms of the Chapter IX of the SEBI (ICDR) Regulations, 2018, as amended from time to time. Our Company has received an In- approval letter dated November 26, 2021 from National Stock Exchange of India Limited for using its name in this offer document for listing of our shares on the NSE Emerge. For the purpose of this Issue, the Designated Stock Exchange win be the National Stock Exchange of India Limited. The trading is proposed to be commenced on or about December 23, 2021.*

All Applicants were allowed to participate in the issue through APPLICATION SUPPORTED BY BLOCKED AMOUNT ("ASBA") process by providing the details of the respective bank accounts in which the corresponding application amounts were blocked by Self Certified Syndicate Banks (the 'SCSBs').

The net offer has receiver) 43625 applications before technical rejections for 214432000 equity shares resulting in 37.61 times. The details of the applications received m the issue (before technical rejections but after applications not banked) are as follows.

Allocation to Market Maker (After Technical Rejections & Withdrawal): The Basis of Allotment to the Market Maker, at the issue price of Rs. 60 per Equity Share, was finalised in consultation with NSE. The category was subscribed by 1.00 times. The total number of shares allotted in this category is 3,00,000 Equity shares.

B. Allocation to Retail Individual Investors (After Technical Rejections & Withdrawal): The Basis of Allotment to the Retail Individual investors, at the issue price of Rs. 60 per Equity Share, was finalized m consultation with NSE. The category was subscribed by 31.43 tunes i.e. for 64864000 Equity Shares Total number of shares allotted in this category is 2700000 Equity Shares to 1350 successful applicants.

The category wise details of the Basis of Allotment are as under:

C. Allocation to Other than Retail Individual Investors (After Technical Rejections & Withdrawal): The Basis of Allotment to Other than Retail Individual Investors, at the issue price of Rs. 60 per Equity Share, was finalized in consultation with NSE. The category was subscribed by 47.32 times i.e. application received for 12,77,78,000 shares & the total number of shares allotted in this category is 27,00,000 Equity Shares to 716 successful applicants.

The category wise details of the Basis of Allotment are as under:

The Board of Directors of the Company at its meeting held on December 21, 2021 has approved the Basis of Allocation of Equity Shares as approved by the Designated Stock Exchange viz NSE and has authorized the corporate action for issue of the Equity Shares to various successful applicants.

The CAN-cum-allotment advices and/or notices will be forwarded to the email id's and address of the Applicants as registered with the depositories I as filled in the application form on or before December 22, 2021. Further, the instructions Self Certified Syndicate Banks for unblocking the amount will be processed on or prior to December 22, 2021. In case the same is not received within 10 days, investors may contact at the address given below The Equity Shares allocated to successful applicants are being credited to their beneficiary accounts subject to validation of the accounts details with the depositories concerned. The Company is taking steps to get the Equity Shares admitted for trading on the Emerge Platform of NSE Limited (NSE Emerge) within six working days from the date of the closure of the issue.
