Subject: Proposed initial public offering of the equity shares of Ujjivan Small Finance Bank Limited
This is to bring to your notice that Ujjivan Small Finance Bank Limited ("Bank"), a subsidiary of Ujjivan Financial Services Limited ("UFSL") proposes to undertake an initial public offering of its equity shares ("IPO") and has filed a red herring prospectus ("RHP") in relation to the IPO with the Registrar of Companies, National Capital Territory of Delhi and Haryana on November 22, 2019.
The IPO comprises of a fresh issue of the equity shares of Rs. 10 each by the Bank, aggregating up to Rs. 7,500 million ("Issue"). Please note thata portion of the Issue, aggregating up to Rs. 750 million, has been made available for the Eligible UFSL Shareholders (defined below), on a proportionate basis.For this purpose, individuals and HUFs who are the public equity shareholders of UFSL as on the date of the RHP i.e., November 22, 2019(excluding such persons who are not eligible to invest in the Issue under applicable laws or are otherwise unable to make any such investment strictly in accordance with the terms of, and restrictions specified in, the RHP) are the "Eligible UFSL Shareholders".
The lead managers to the Issue are Kotak Mahindra Capital Company Limited, IIFL Securities Limited and JM Financial Limited ("BRLMs") and the registrar to the Issue is Karvy Fintech Private Limited ("Registrar to the Issue"). Key details in relation to the Issue are set out below:
Eligibility for UFSL Shareholder Reservation Portion-Individuals and HUFs who are the public equity shareholders of UFSL, the Promoter of the Bank, (excluding such persons who are not eligible to invest in the Issue under applicable laws or are otherwise unable to make any such investment strictly in accordance with the terms of, and restrictions specified in, the RHP) as on the date of the RHP, being November 22, 2019.

Mode of Application -
The Application Supported by Blocked Amount ("ASBA") process is mandatory for Eligible UFSL Shareholders Bidding under the UFSL Shareholder Reservation Portion.
Eligible UFSL Shareholders Bidding under the UFSL Shareholder Reservation Portion can also block their ASBA Accounts for bidding through the UPI Mechanism.

Copies of the Bid cum Application Form will be available at the offices of the Designated Intermediaries and the registered and corporate offices of the Bank.
An electronic copy of the Bid cum Application Form will also be available for download on the websites of NSE (www.nseindia.com) and BSE (www.bseindia.com) at least one day prior to the Bid/ Issue Opening Date.
Please note that a Bidder Bidding in the UFSL Shareholders Reservation Portion, subject to the Bid Amount (net of UFSL Shareholder Discount) being up to Rs. 200,000, can also Bid under the Net Issue portion and such Bids will not be treated as multiple Bids. To clarify, an Eligible UFSL Shareholder Bidding in the UFSL Shareholders Reservation Portion above Rs. 200,000 cannot Bid in the Net Issue as such Bids will be treated as multiple Bids and would be liable to be rejected.
