The IPO grey market is an over-the-counter market and requires a local dealer with who you know or find a connection.

The best way to find someone who deals in the IPO grey market is to find a local dealer who does 'Dabba Trading'. This term is used in North India but I am sure there will be some local terms as they are present all over the place.

Dabba trader dealers allow people to trade without the stock exchanges. They run parallel exchange illegally. All transactions are done in cash (black money). The transaction cost far less in comparison to trading at BSE, NSE, or MCX. All the transactions are closed by end of the day and settled in cash. They are popular in Rajasthan and Gujrat.

For dealing in the IPO grey market, it doesn't matter where you have your demat account. It could be with any broker.

Here is how the transaction works:

1. You contact your local grey market dealer and tell him that you are interested in selling an IPO application. You could also buy but let's talk about the sell transaction.

2. The operator tells you the price for two options (IPO Grey market premium or Kostak rate).

3. You choose one of the options and agree to sell.

4. You apply in the IPO and share the application number with the dealer.

5. On a listing day, the dealer will ask you to sell at a price.

6. The dealer will pay you the difference in profit/loss from the trade and the agreed grey market premium. The amount is settled in cash.

Case 1:
IPO share price: Rs 100
Lot size: 150
Kostak: Rs 2000
Sell price: Rs 120
Profit from sell: 20*150 = Rs 3000
You return to GM Dealer: Rs 1000
You keep Rs 2000 as agreed with the dealer when you sold the application.

Case 2:
IPO share price: Rs 100
Lot size: 150
Grey Market Premium: Rs 10
Sell price: Rs 120 (Only if alloted)
Profit from sell: 20*150 = Rs 3000
You return to GM Dealer: (Rs 3000 - Rs 1500 GMP) Rs 1500
You keep Rs 1500 which you locked by selling the IPO application.

Note:
1. You will bear the tax on the profit of Rs 3000.
2. The transaction in the IPO grey market reduced significantly after the SEBI introduced new laws limiting HNI to borrow money. Let's see how the dealers find their way through it in upcoming IPOs.
