NCD stands for non convertible debentures as opposed to convertible debentures. NCD can be secured or unsecured. But they are pure debt instruments as opposed convertible debentures which can be fully or partly converted in to shares of the company. NCD have to be compulsorily redeemed in cash as per terms of the offer .Where NCD are issued in Demat form TDS is not deducted. They are traded just like shares.
