Big names cashing out (in short span) and passing the parcel to retailers is a concern.

Respected Investors! While some may argue for their own good reasons, we understand that any business would only deliver sustainable returns if it has a strong and steady long term plan of action of staying relevant in future. When we say long term, we mean how well their solutions are going to cater to the changes in the market 10 years from now.

EVs are the future of both commercial and PV space and the Indian automotive landscape in set to undergo a complete transformation due to an increased adoption of fully electric vehicles in the coming decade. Since we know this change is inevitable, our investment decisions should keep this very thought in mind before making any long term investment decisions.

EVs don't require a transfer case or a drive shaft as the motor(s) can be mounted directly over the axle. So, the transfer case and drive shaft business would be a dead boat within a decade. DCTs are a complicated piece of high precision machinery with a high rate of failure and replacements. Most OEMs therefore rely on large experienced suppliers like BorgWarner, Getrag, ZF Friedrichshafen, LuK etc. having sufficient capacity, engineering prowess, reliability and expertise. Unless Divgi decides to partner with a big global player to drive their operations in India, they would remain a fringe player only good at showcasing prototypes. Such a partnership would also entail a much larger capex with ultra low guarantee of a decent RoI owing to the advent of EVs which again don't require a transmission at all. So this option too seems highly unlikely in case of Divgi.

In short, Divgi would need to reinvent their wheel and pivot their business rapidly to a completely new line of products and they would need to do it ultra-fast. This seems a herculean task owing to a lot of challenges like the engineering prowess, technological know-how, and a heavy capex allocation. We believe that the promoters understand this challenge and hence the OFS component in this IPO.

Hence, we do not find a merit in participating in this IPO as we feel there already are existing players in the market who are significantly better prepared to handle the inevitable oncoming disruption in the automotive sector. Best Wishes & Happy Investing!

Company (DivgiWarner Pvt. Ltd.) had JV with BorgWarner, USA from 1995 till 2016. The JV was dissolved in 2016 and Divgi TorqTransfer Systems (Divgi TTS) was formed as an independent company. Subsequently license agreement renewed on March 1, 2017, valid for a period of seven years from the date of renewal of the agreement.

Company has entered into a product development agreement (“PDA”) and a technology transfer agreement (“TTA”) with a German automotive company. Pursuant to the PDA and TTA, the Company is co-developing critical components and systems for DCT applications with exclusive rights for India and non-exclusive rights for markets outside India. The licensing arrangement pursuant to the TTA will continue for a period of 13 years from the date of signing till 2033.

It has also entered into an exclusive distribution agreement with a Japanese automotive supply chain company in relation to sourcing of products and components made by the company.

Supplier to Mahindra's (Thar, XUV range), MG, Tata Motors.

Divgi seems to be one of the rare companies that spends 6-7% of revenue on R&D, and yet has strong cash flows. Normally high R&D companies tend to go into research at the expense of profitability or cash, but this one seems to be juggling successfully. R&D seems to be translating into pricing power / margin accretion.

To the extent that it has paid out good dividends, even as private company.
