Red Herring Prospectus (RHP)

A Red Herring Prospectus (RHP) is a preliminary registration document that is filed with SEBI in the case of a book building issue which does not have details of either price or number of shares being offered or the amount of issue.

RHP is an offering document that is an updated version of the DRHP and is filed with SEBI when companies go public for the first time. It contains detailed information about the company and its core business.

SEBI reviews the RHP very closely to ensure that there are no inconsistencies in the document.

The RHP contains details about:

• Opening and closing date of the offering
• Company and Industry Overview
• The offer details (Issue size, fresh and OFS size details, pre and post-share capital, Investor allocation and more information)
• Record of the share capital held by the promoters of the company
• Subscribed, issued and paid-up capital before the IPO
• RHP is an updated version of DRHP. The latest financial statements and updated offer details and dates are mentioned in RHP
• Record of the share capital held by the promoters of the company

The RHP also includes information on the company's operations, prospects, promoter, finances, fundraising objective, industry and company overview, background, recent fundraising, market research, and capital structure.
