A shelf prospectus can be issued by companies that meet the following requirements:

Listed companies (for more than three years), non-banking financial companies, National Housing Bank with
- Net worth of at least Rs 500 crores.
- Consistent track record for the last three years.
- Credit rating of at least 'AA-' and above.
- No pending regulatory action.
- Not defaulted on any payment obligation.
Public financial institutions.
Infrastructure debt funds.
Issuers authorized by a notification from the Central Board of Direct Taxes.
