Non-Institutional Investor (NII) is an investor category in an IPO which includes resident Indians, NRIs, HUFs, companies, legal entities, academic institutions and trusts. These applications are for more than Rs 2 lakhs for an IPO.

Investors who are not in the QIBs and RII category are also referred to as NII investors.

The investor category NII IPO is also known as High Networth Individual (HNI).
