Category Entitlement Ratio of Buyback
Reserved Category for Small Shareholders 26 Equity Share out of every 503 Fully paid-up Equity Shares held on the Record Date.

The issue size of Zydus Lifesciences Buyback is of 11,538,461 equity shares at ₹650 per share aggregating upto ₹750.00 Crores.

The buyback is being undertaken for the following reason:

1. The Buyback will help the Company to distribute a part of the surplus cash to its shareholders holding Equity Shares thereby, optimizing returns to the shareholders and enhancing the overall shareholders' value in longer term and improving the return on equity.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The Zydus Lifesciences Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Thus, one should understand the company fundamentals along with one's need, goals, and risk appetite to decide if one wants to stay invested or participate in the buyback offer.

On June 1, I sold the 500 shares I was holding. Can I buy some back before the last tender date and offer them in the buyback ? Will the number of shares accepted depend on the number of shares offered or only on the number of shares held on the record date ? In other words will it make any difference to the number of shares accepted from me if I offer 50 vs 100 shares ?

1. You can buy later when tender dates announce.
2. Number of shares to accept depends on holdings on record date.

1. You will get mail from company about entitlement ratio. Around 20-25 june.
Thn you can apply in buyback in tender dates.
We can expect ER-AR 8-15%.
So as per your holdings 370 shares you get mail soon. You can tender all 370 shares.
May be 35-60 shares accept. ( If more thn good ).
Yes Retail holding under 2 lakh.

I m holding 500 and 400 shares in two accounts.

You will eligible to tender as small retail holders quota. ( 378 × 370 = 1,40,000 approx )

I have 37 shares of zyduslife bought 6 months earlier.....how many of these are likely to be accepted if tendered fully?
10.1. Ramesh.bg     Link|May 31, 2022 10:43:02 PM
We will get more clarity when ER and AR are known. I guess AR may be around 10 to 15%. So, may be around 3 to 5 shares out of 37 may be accepted in buyback.. Just my assumption..

If I have purchased shares as on 31-05-2022, can i be eligible for buyback
8.1. Ramesh.bg     Link|May 31, 2022 11:36:37 AM
Yes.. eligible.. buy on 31st (as record date is 2nd June). But, advisable to buy minimum quantity as heavy selling may be there tomorrow 1st June which of the ex date.
7. Ramesh.bg     Link|May 30, 2022 4:08:17 PM
Hope AR will be very low and not advisable to buy at current price of 375 levels. 1st June being ex date, heavy selling may be there on ex date which will bring the price to 350 levels.

5. ganesh jaiswal     Link|May 20, 2022 11:54:15 PM
Total retail quota in buy back 17 lamha shares.

Share present held by retail investors approach 2 Crore.

So only 2.5% share of retail share holders acceptance.

Very poor chances of acceptance

@ganesh and @Mohsin

Is it 7 crore shares under 2 lakh market value or face value? If it is market value according to company PDF only 10 noninstitutional investors have more than 2 lakhs, which is absurd for a 37K crore company. I think it should be FV, right?

If you look at TCS shareholding pattern on BSE only 7 people have more than 2 lakhs. Has to be FV, because 2 lakhs se zyada TCSme to Dadar Station me hi 100-150 log mil jayenge. :D

Experts please help! Is there a way to approximately know how many people hold less than 2 lakh market value in a stock?
5.5. Nkparwal     Link|May 30, 2022 1:04:36 PM
No one knows how much shares are in retail category holders. Because company gives list of share holders valuing as per face value. Only registrar knows. Ex buy back date is 1st June, so new share holders will be added till then

Looking big but number of retail shareholder is huge, Looking at offer all may participate so Acceptance Ratio will be very less.
