  1. 1. What is the TCS Buyback 2022 size?

    The Buyback Offer size in terms of Equity Shares to be bought back will be 4,00,00,000 Equity Shares and in terms, the amount will be approximately Rs.18,000 Crores, which represents 1.08% of the total issued and paid-up equity share capital of the Company, as of December 31, 2021.

     

  2. 2. What is the TCS Buyback Price?

    The Equity Shares will be bought back at a price of Rs 4,500 per Equity Share.

     

  3. 3. What will be the impact of tax on TCS buyback?

    The income from the accepted buyback share is tax-free. There are no short-term or long-term capital gain taxes on the profits from TCS buyback accepted shares. The buyback price of Rs 4500 is the net price you will get for shares accepted.

    But the gain/loss from the sell of the remaining share in the open market (not accepted in buyback offer) will be taxable as usual.

    Example:

    1. If you buy 1 share for 3700 and TCS accepts it in a buyback offer, the Rs 800 profit will be tax-free.
    2. If you buy 50 shares at 3700 and 25 shares are accepted by TCS for buyback and the remaining are sold in the open market at 4000. Profit from buyback accepted shares (Rs 800*25 = Rs 20,000) is tax-free. Profit from remaining shares (Rs 300*25 = Rs 7500 is taxable.

     

  4. 4. What is the mode of TCS Buyback?

    This TCS Buyback offer will be implemented through the "Tender Offer" route.

    The 'Tender Offer' means an offer by a company to buy back its own shares through a letter of offer from the shareholders. The shareholders have to contact their Share Broker to submit the shares.

     

  5. 5. Is it compulsory to tender TCS shares through a broker?

    Yes. The Shareholders who desire to tender their Equity Shares in the electronic form or physical form under the Buyback would have to open a trading account with any BSE or NSE registered broker.

     

  6. 6. Can I tender TCS shares under pledged for margin?

    No, lock-in/ pledged and non-transferable shares cannot be tendered.

     

  7. 7. What portion of my holding can I tender to the company as part of the buyback?

    Shareholders holding Equity Shares as on the Record Date (Feb 23, 2022) would be eligible to participate in the buyback. Shareholders would either be categorized as a general category shareholder or a small shareholder based on the market value of shares held on the Record Date. The entitlement for each shareholder would then be fixed as per their holding on the Record Date. Shareholders can tender either part or entire holding as on the Record Date in the buyback. However, the acceptance would initially be the entire entitlement of the shareholder and any additional acceptance would be based on the overall additional shares tendered by all the Eligible Shareholders.

     

  8. 8. How does one participate in the TCS buyback in case one does not receive the tender/offer form?

    Receipt of tender/ offer form is not necessary. If you are a TCS shareholder on the Record Date, you can participate in the buyback. An Eligible Shareholder may participate in the Buyback by downloading the Tender Form from the websites of the Company and the Registrar to the Issue.

     

  9. 9. What is the manner in which TCS decides the acceptances from each shareholder?

    Acceptance will be decided basis the number of shares tendered in the buyback. The entire entitlement of the Eligible Shareholders would be accepted and if any additional shares are tendered by the Eligible Shareholders, the same would be accepted on a proportionate basis.

     

  10. 10. When will the TCS shareholder receive an intimation about acceptance of his/her shares?

    The shareholder would receive the intimation once their shares are accepted and settlement is completed post the completion of the tendering period.

    The current Buyback is in line with the Company's shareholder-friendly capital allocation practices of returning excess cash to shareholders, thereby increasing shareholder value in the longer term, and improving the Return on Equity.

Buyback Ratio Calculation

The record date for the TCS Buyback is February 23, 2022.

The issue size of TCS Buyback is of 40,000,000 equity shares at ₹4500 per share aggregating upto ₹18,000.00 Crores.

The Buyback aims to :
i) Return excess cash to the shareholders.
ii) Increase shareholder's value in the long term; and
iii) Improve Return on Equity.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The TCS Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Thus, one should understand the company fundamentals along with one's need, goals, and risk appetite to decide if one wants to stay invested or participate in the buyback offer.

Th maximum shares you could tender are the number of shares you hold in your demat account on the record date (Feb 23rd, 2022).

If you hold 1 share on the 23rd, you could tender only 1 share. It doesn't matter how many shares you had earlier or you buy at later date.

@coldburger: you can see my below reply to snipperraj:

if you sell on 21st, then 100% not eligible for buyback no matter which broker you are using.
if you sell on 22nd, then also its risky in case of buybacks, where sometimes if you sell on ex date then you are not eligible as seen many times before with multiple brokers. Buybacks are not like bonus/dividends where surely you will get benefit even if you sell on ex date. (may be from broker pool account etc which will not be applicable for buyback).
Selling on 23rd feb will be safe, to be eligible for buyback.

@jethalal: Pasting again as i replied to @vantage in below post on this same page:

Retail category is decided by 2 lakh value of shares on record date as per share closing price on record date, no matter how many shares you sell/buy after record date. And Max shares we can tender as per held on record date, no matter how many times we are buying/selling after record date and how many shares holding after record date.

1. With 60 shares in your Dmat acct on 23rd Feb you will not be eligible for retail investor quota.
2. 21st Feb is the last date for you to sell off your excess shares.
3. You need not sell 16 shares and and bring your holding down to 44. That would be playing too safe. Since target is to bring value of holding below 2 lacs as per 23rd closing price, selling 12 shares is likely to suffice (ie 48 shares net), which assumes that closing price on 23rd will be below Rs 4166 - ie price increase during 3 days will not exceed 10% .

Acceptance ratio depends upon (i) number of investors tendering shares for buyback and that depends upon (ii) market mood and (iii) price of shares during tender period. It could be 30-40% but no one can be sure about it.
Since you have 125 shares you will be in general category untill you decide to apply as a retail investor and consequently decide to sell extra shares may be 80-81 shares. And keeping 44-45 shares for tendering.
Take your own decision as per your convenience and strategy.

How bad is general category vs retail from acceptance ratio standpoint?

Will there be any additional charges if tender shares in general vs retail?

If one has long term view on TCS, I believe no need to reduce number of shares to be eligible for retail category. Tender all and whatever is accepted (20-25%)..enjoy short term profit. Remaining shares hold for 4500 by end of 2022.

@Manish Patel : Anything is possible. And TCS is buying back constant quantity. So how much being bought back from retailers, is all depend on how much are being tendered, if tendered shares are lesser than available shares for retailers then Acceptance will be 100%. And tendering will depend on share price during buyback tender period which is 3-4 weeks from now. if share price due to any reason will reach around 4100 or above that time, then good chances of 100% AR.

It is very much on the cards. If during Tender offer window (opening and closing date) CMP remains 4400 and above then 100% chances of 100% AR as very few people will be tendering there shares.

During last buyback price of 3000, price was 2800 to 2900 during tender offer window but achieved 100% AR in Retail category.

@JIgar A : it will mainly depend on share price only during tender period , which indirectly depends on many things like market movement etc.
In retail category, there are very very chance of final AR to be less than 30-40%.
in my opinion, it will still be above 50% in retail category if tcs share price hovers around 3700-3900 during tender period else if price is more then AR will be much better.

I have never participated in Buyback. I have 60 shares of TCS in my D-mat. Can I offer only 44 shares for buyback and be part of Retail category or will I have to offer entire 60 shares and be part of General Category. As I have heard acceptance ratio in retail is higher than general category.

For retail category, N x P should be less than 2 lakh, where...
N = number of shares held on record date (23-feb) in your demat. (means... number of shares in your holding by closing of 21-Feb.)
P = Price of one share on record date.

@JSM: Tender window will normally open after 2-3 weeks of record date, they will send mail to all eligible people. And window will open for around 2 weeks duration. you can tender shares from your broker site.
And you can simply sell around 10-12 shares tomorrow to be in retail category which is decided as per shares values of 2 lakh as per share price on record date, 23rd feb.

I'm participating in buyback first time. So wanted to know if I have let's say 20 shares in my account as of record date, and I tender 10 of them. If AR is 50%, then will 10 shares be accepted or 5?

If I tender all 20 shares, when will I be able to sell my shares?

I know holding TCS will make sense as risk is minimum but I don't want to breach the per share max allocation I'm following. Thank you.

ER is based on number of shares held as on record date.
Additional acceptance has no relation to number of shares on record date. Solely based on extra shares tendered over and above entitled quantity. Total tendered can not be more than number of shares on record date.

As @KSRK is advocating tender all the shares on record date unless the market price moves up over buyback price to sell in market.

This will offer maximum benefits. I too learnt hard way last year post part tendering in NIIT buy back!

I already knew that initial reply from KSRK sir to @amateur investor was not complete correct but since i was busy so couldnt respond else i thought to reply with proper example for this whenever i get time.
And now its good to see that @tomi has clarified and now things are clear to @ksrk sir and everyone so since this question keeps coming in buybacks so above calculation can be copy pasted to someone in future.
Final AR is applicable on all quantities held on record date and tendered. So it will be same for everyone only when they are tendering all their shares, unlike ER , which is same for everyone. But obviously more the shares you will tender, more will be accepted.

1. Additional Shares=Additional Ratio × Shares submitted in addition to entitlement
2. Accepted shares = Entitlement shares + Additional shares
