    2. If you buy 50 shares at 3700 and 25 shares are accepted by TCS for buyback and the remaining are sold in the open market at 4000. Profit from buyback accepted shares (Rs 800*25 = Rs 20,000) is tax-free. Profit from remaining shares (Rs 300*25 = Rs 7500 is taxable.

  4. 4. What is the mode of TCS Buyback?

This TCS Buyback offer will be implemented through the "Tender Offer" route.

The 'Tender Offer' means an offer by a company to buy back its own shares through a letter of offer from the shareholders. The shareholders have to contact their Share Broker to submit the shares.

  5. 5. Is it compulsory to tender TCS shares through a broker?

Yes. The Shareholders who desire to tender their Equity Shares in the electronic form or physical form under the Buyback would have to open a trading account with any BSE or NSE registered broker.

  6. 6. Can I tender TCS shares under pledged for margin?

No, lock-in/ pledged and non-transferable shares cannot be tendered.

  7. 7. What portion of my holding can I tender to the company as part of the buyback?

Shareholders holding Equity Shares as on the Record Date (Feb 23, 2022) would be eligible to participate in the buyback. The entitlement for each shareholder would then be fixed as per their holding on the Record Date. Shareholders can tender either part or entire holding as on the Record Date in the buyback. However, the acceptance would initially be the entire entitlement of the shareholder and any additional acceptance would be based on the overall additional shares tendered by all the Eligible Shareholders.

  8. 8. How does one participate in the TCS buyback in case one does not receive the tender/offer form?

Receipt of tender/ offer form is not necessary. If you are a TCS shareholder on the Record Date, you can participate in the buyback. An Eligible Shareholder may participate in the Buyback by downloading the Tender Form from the websites of the Company and the Registrar to the Issue.

  9. 9. What is the manner in which TCS decides the acceptances from each shareholder?

Acceptance will be decided basis the number of shares tendered in the buyback. The entire entitlement of the Eligible Shareholders would be accepted and if any additional shares are tendered by the Eligible Shareholders, the same would be accepted on a proportionate basis.

  10. 10. When will the TCS shareholder receive an intimation about acceptance of his/her shares?

The shareholder would receive the intimation once their shares are accepted and settlement is completed post the completion of the tendering period.

  11. 11. Why is TCS doing a share buyback at an all-time high price?

The current Buyback is in line with the Company's shareholder-friendly capital allocation practices of returning excess cash to shareholders, thereby increasing shareholder value in the longer term, and improving the Return on Equity.

Buyback Ratio Calculation

The record date for the TCS Buyback is February 23, 2022.

The issue size of TCS Buyback is of 40,000,000 equity shares at ₹4500 per share aggregating upto ₹18,000.00 Crores.

The Buyback aims to :
i) Return excess cash to the shareholders.
ii) Increase shareholder's value in the long term; and
iii) Improve Return on Equity.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The TCS Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Thus, one should understand the company fundamentals along with one's need, goals, and risk appetite to decide if one wants to stay invested or participate in the buyback offer.

anyone hedging their bets by selling TCS future or selling call or buying put
what strategy are you employing

Also, anyone thinking of selling some shares tomorrow and re-buying at a later date because arket is quite volatile and IT shares can crack further

I have hedged from the day of buyback announcement. Till date I have reduced my buying cost by about Rs. 70/- by simply selling CE. I have more quantity and hence it seemed a good idea to hedge. If you have small quantity, buying more at lower levels may be a better idea.

@Asoke Sarkar
There is a confusion in your prev post.

Can you tell what as per Anil singhvi , would be the date and price that would be taken into consideration for retail ? Is it Ex-Date viz 22Feb and Price at the start of the Ex date ie 3720 that one should use for calculating elilibilty?
160.9. Ou Ai     Link|February 23, 2022 4:25:08 AM
Dear All
There appears a confusion about market price on record date to determine small shareholders eligibility.

Share price determining eligibility is given by the stock exchange where TCS planned to conduct the buy back later, NSE or BSE. The said exchange provides share price on 23rd EOD, today to buy back window based on traded price with the highest volume on 23rd. It takes into reckoning prices with volumes over entire trading duration today and aggregates to arrive with traded price. It is not closing price as the last few trades before closing can be manipulated to benefit or not benefit shareholders on the edge.

To be eligible below 2 lakh , one could have purchased shares up to say 50~52 shares at 3720. This would have meant cutting it close, if record date price spikes above 3800. So experts here advocated computing the quantity with 4500 with safe margin.

Trust this helps.

For the first time in my life, I bought TCS shares and will hold till buyback for tendering.

Also, if it goes down more, might add more quantity for swing trading (15-30 days) purpose only (no long term holding).

15 Lac Shareholder till 31st december and assume maximum 5 lac applicants may be increased for buyback.
Total 10 Lac applicants who will participate in buyback and around 30000 applicants will apply with 2 lac means around 50 share
30000 x 50 = 1500000 ( 15 lac shares)
Rest 1lac applicants with 25 Share
100000 x 25 = 2500000
870000x 10 share = 8700000

8700000+1500000+2500000= 12700000
Available share 60 lac / 1.27 lac = 47.24 % Acceptance ratio.

If Retail Participation will be decreased or not applied then it may be increased ratio.
Then maximum 70 % Acceptable.

As per my assumption it may be in-between 50 % to 70 %. AR

@hostpacker. You have taken 15 lacs individuals as small investors as per share holding pattern but not all 15 lacs are small investors. If you divide total number of shares held by them than you will come to know. These 15 lacs are shareholders holding share capital (not value) less than 2 lacs. Share capital is no. of shares multiply by face value whereas share value is no. of shares multiply by cmp. Hope its clear

Some so called Guru gives extremely gloomy scenario to each and every ipo/stock, recent example is TCS, off course you will face backlash from others, if you don't present any rationale or don't warn well in advance when people were entering.
And then they says that here people don't respect.
Off course people here respect and worship the real knowledge/talent and unbiased analysis/opinion, have seen it here on this forum.
Someone says from tomorrow people will book profit, there will be lower circuit, etc etc, and in weak market sentiments these comments doesn't help.
You have to the balance the negative with the some positives.
Everyone must be knowing by then that stock market is momentum based, runs on sentiments and herd mentality.
God help these people.

if it comes below 3300, I will be very surprised

if operator play happens and i get trapped, i will hold these shares
In high liquidity stocks like TCS operator play is quite difficult in my opinion as liquidity is huge and there are many investors who are anxious to press the buy button on good stocks available at a discount

If it comes to 3150(operator play and not due to general market correction) and infy remains at 1700 levels then i will shift my position from Infy to TCS and i have considerable stake in Infy currently

@sunil - yes you'll be eligible. What counts is shares in your demat account. The equities are delivered in demat account in T+2 days, i.e since you bought on 21st, the shares will be in your demat on 23rd as required under terms of buyback.

@sunil ji

if the shares come to your demat account on 23rd, you will be eligible for buyback.
If they get credited on 24th, you will not be eligible for the buyback

Kindly check with your broker why projection is 24th when the standard procedure is t+2( ideally it should be 23rd)

Please like the comment if you find the info helpful

@Have Faith,
Though this question is for lokes sir, we would like to add our thoughs.

It's a difficult situation among the analyst community regarding what to do tomorrow.

Should you hold or exit at whatever price you are getting?

1. No one in their wildest dream expected that TCS stock will react the way it reacted today and in the last few days.

2. Looking at the last few day's behaviors, it seems the stock is heading downwards. How much it will go down is a million-dollar question.

3. We expect a huge selling pressure tomorrow at least.

4. One common view we have heard is that this company has a great future and long-term holding will result in 20% yearly gains.

Overall, we don't think it's a bad idea to exit tomorrow and enter again in chunks. We may be wrong :(
148.2. lokes     Link|February 21, 2022 9:31:57 PM
@have faith: as i mentioned earlier, selling tomorrow may be riskier and may depend on broker too so better everyone should be sure about his broker that the broker will not remove shares by 23rd evening if they sell tomorrow (as it happens with some broker) then you may not be eligible for buyback. But if broker is removing shares from your demat on 24th then its fine. Selling on 23rd will be safe in all cases normally.
In my opinion, from some weeks, tcs was holding above 3700 due to buyback only, and in next 2 days it should go down upto 3550-3600 at least minimum, rest depends on market movement also.
And I will keep holding my shares and will not sell them in next 2 day and i may buy some shares if getting around/below 3500 rs on/after 23rd feb and then i may sell later, whatever buying extra, if getting price around 3900.

@sinpperRaj if you are willing to sell in morning and buy at the end then you should try do intraday.

If you get lower price , you wil get profit and if higher price then no loss because higher price benefited on your TCS holding
