MOIL Limited Buyback (MOIL Buyback) Detail

Incorporated in 1962, MOIL is a miniratna state-owned manganese ore mining company. MOIL produces and sells different grades of Manganese ore including, (i) High-Grade ores for production of Ferro manganese, (ii) Medium grade ore for production of Silico manganese, (iii) Blast furnace grade ore required for production of hot metal and, (iv) Dioxide for dry battery cells and chemical industries.
MOIL operates 11 mines, 7 located in the Nagpur and Bhandara districts of Maharashtra and 4 in the Balaghat district of Madhya Pradesh. MOIL completes around 50% of the total dioxide ore requirement of India.

The issue size of MOIL Buyback is of 33,842,668 equity shares at ₹205 per share aggregating upto ₹693.77 Crores.

The Buyback aims to :
i) Reduce outstanding number of equity shares and consequently increase earnings per share and book value per share.
ii) Effectively utilize available cash; and
iii) Improve key return ratios like return on equity capital.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The MOIL Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Thus, one should understand the company fundamentals along with one's need, goals, and risk appetite to decide if one wants to stay invested or participate in the buyback offer.

I bought MOIL shares on 31st Dec (record date) but as per current rules (T+2) it got credited in my account on 3rd Jan.... so, am I eligible for buyback or not ?

PS: I have not received any mail from MOIL, if I'm nit eligible, then wish to sell those shares. Any suggestion will be appreciated. Thanks!

its not "much wait" actually. Always it takes around 3 weeks for the ER mail to come after record date. Then buyback starts in around 4 weeks from record date.

As the Record Date is 31/12/21, no use in selling at the CMP. Please tender all the shares for the buyback so that proportionate eligible shares will be accepted as the AR will normally be more than ER. Thank you.

In your category, as on 30/9/21 61 persons hold 33.57 lac share.
However this is a big buyback, 14.24% share of the company will be bought back.Though the final figure depends on the number participating, you may expect of atleast 22% absorption if you tender all 1300 shares for buyback. If the Govt does not take part in the buyback , it may be extended to 65-70 % even.

Sir,
Normally, within two or three weeks from the record date, mail will be received from the Registrar. I believe that you have already furnished your email address to your broker. Registrar will collect the mail address from your broker and will mail you regarding your entitlement.

Sir,
If you have submitted your email to your broking agent, you will definitely receive a mail from the Registrar duly intimating the number of shares entitled for the buyback. It is advantageous to tender all your holdings during the period of buyback to get maximum benefit.

Need some help in understanding the definition of a retail investor for the purposes of a buyback.
A retail investor is someone who has shares of value < INR 200,000.

But what is the price applicable? Is it the offer price? If it is the market price, then on what date? Is it the closing price, or vwap price? On what exchange?

I play it safe, I assume the price is 5% more then the offer price, and then buy. By this logic, I should've bought 929, but rounded down to 900.

But I guess I could buy more, safely.

Help from experts appreciated.

As defined under Regulation 2(i)(n) of the Buyback Regulations, a “Small Shareholder” is a Shareholder who holds Equity Shares whose market value, on the basis of closing price on Stock Exchanges as on Record Date, is not more than ₹ 200,000/- (Rupees two hundred thousand only). As on the Record Date, suppose the volume of Equity Shares traded on BSE was 1000 Equity shares and on NSE was 1500 Equity Shares. Accordingly, NSE, being the stock exchange with highest trading volume, the closing price was suppose ₹ 100 and hence all Shareholders holding not more than 2000 Equity Shares as on the Record Date are classified as ‘Small Shareholders’for the purpose of the Buyback Offer…..

Thanks for the replies. Just experiencing the buyback first time. Not thinking to exit and re-enter and ready to face what ever the final outcome is. Not of trader mentality to do many enter/exit. Just pray that the offer period is announced soon so i can pull the money back sooner.

How can I be counted in reserved category in Moil? Holding 1k qty. Certainly disappointed with price volume action. Tiny trading in compare to buyback qty. I get estimate of AR not more than 30% and so can expect 11 k profit. Same 10k is available now. Since it has not good past I have put a sell order at 186. I am sure it will come to 155-160 once the buyback schedule is over.

if the share price increases to more than Rs.200/- at the closing of the Record Date in the stock exchange where comparatively more transactions took place (Normally NSE), then your holdings will be considered under general category. Otherwise, will be considered in the Small Shareholders/ Retail Category only. Thank you for your views.

From the relevant regd mail address, a mail is to be sent to the broker for tendering the shares (100) after the process of tendering starts.
