The issue size of Bajaj Auto Buyback 2024 is of 4,000,000 equity shares at ₹10000 per share aggregating upto ₹4,000.00 Crores.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The Bajaj Auto Buyback 2024 offers an opportunity for the shareholders to exit their positions at a premium price. What is the rationale with which people are estimating AR will be similar to ER? Just for my learning - historically have seen there to be a reasonable difference between the two.

@rohiitian, this is what I understand - some entitled share holders will not participate in the buyback. These shares will be taken from those who tender more than what they are entitled to. Here the preference is given to those who got zero entitlement. One share each will be taken from them. Thus the AR for this group will increase from 25.99% to may be 40% or 50%. After this only, if the required retail quota is not yet full, shares will be collected from those who got entitlement of one or more shares. In Bajaj Auto buyback, since there are too many single share holders, the required quota will get filled from just 50% of this group itself. So no more shares needs to be collected from people with entitlement of one or more shares. Hence their AR will remain the same as ER.

Ashish, the number of shares we have on record date is considered. Now you are not eligible as retail investor but general or HNI investor..

So even if you tender 20 shares you will still be considered as HNI investor..

In Letter of offer for Buy Back, mentioned as 27 for Small Shareholders. In my view it is 25 shares. Last price on record date i.e 29 Feb 2024 was Rs.7909.35. So Rs.2,00,000 divided by Rs.7,909.35 is 25.28653 but to be considered 25. Kindly clarify the same on Urgent Bas

Retail Investors are those who hold 27 Equity Shares held on the Record Date. As per Guidelines who hold 23 shares (Rs.2,00,000 divided by Price on record date which is Rs.8605.80) . How can they say 27 Equity Shares ? Can any body clarify please

According to a report I have seen somewhere, the number of Retail Shareholders jumped from about 2 lacs to about 7 lacs before and after BUYBACK announcement. It is implied there are about 5 lac bought single share each for tendering. To wait and see how many shares will be accepted from this pool.
