Ahmedabad Induction Alloys (AIA) Engineering Limited was established in 1978 and is engaged in the design, development, manufacture, installation and maintenance of wear-resistant high chromium material parts for grinding equipment in the cement, mining, and quarrying industries.

Together with Vega Industries, the international marketing arm of AIA Engineering, the company develops and manufactures innovative products and offers complete solutions to give customers' businesses the boost they need. The company has three main focus areas:

  1. Mining: the company offers solutions from the grinding process to downstream process optimization and has significant manufacturing capacity for high chrome grinding media and mill liners.
  2. Cement: Production of wear parts for cement plants. The product portfolio includes high-chromium grinding media, mill linings, and vertical mill linings. The company also offers marked ball testing, custom linings, and VRM optimization services.
  3. Quarries: Supply of wear and impact-resistant alloys and inserts. The product range includes blow bars, hammers, impellers, anvils, feed disks, and frame linings.

Necessity of the Issue

The Buy-Back is being undertaken, inter-alia, for the following reasons:

  1. The buyback will help the company to return the surplus cash to its shareholders holding equity shares.
  2. The buyback, which is being implemented through the tender offer as prescribed under the buyback regulations, would involve a minimum reservation of 15% for small shareholders and allocation of a higher number of shares as per their entitlement or 15% of the number of shares to be bought back, reserved for the small shareholders. The company believes that this reservation for small shareholders would benefit a large number of public shareholders, who would be classified as small shareholders.
  3. The buy-back is being proposed by the company to service the equity more efficiently, additionally, the company management strives to increase equity shareholder's value.
  4. The buyback is expected to improve return on equity through the distribution of cash and improve earnings per share by a reduction in the equity base; thereby increasing in a long-term increase in shareholder's value.
  5. The buyback gives an option to the shareholders holding equity shares of the company, either to sell their equity shares and receive cash or not to sell their equity shares and get a resultant increase in their percentage shareholding, post the buyback offer, without additional investment.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The AIA Engineering Buyback 2024 offers an opportunity for the shareholders to exit their positions at a premium price. I have 16 AIA Engineering shares with Angel and 1 with Ventura in the same name (same PAN). If I submit both for buy back which will be considered ? What is the best way to maximise benefit of buy back please ? Whteher I should submit 16 or 1 or both. Experts please guide me.

Apply from both accounts.
For 16 shares, 4 shares the entitlement ratio, but bid all 16 as there is chances of 1-2 more accepted.

For, 1 share bid, all depends on luck. As not necessary for the company to buy non entitled share in buy back

Single share strategy means if the difference between current price and buyback price is quite huge say over Rs 400 or Rs 500.then the shareholder can buy 1 share in the DEMAT before record date.if company buy it in buyback then you get the buyback price. you have to participate in the process.
as per company act, it is mandatory to the company to buy 1 share of all the holders subject to the strength of the buyback issue
